1. Acceptance of Terms
By accessing or using SpeakerRadar ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms apply to all users, including speakers, organizations, and team members.
2. Description of Service
SpeakerRadar is a customer relationship management (CRM) platform designed specifically for professional keynote speakers. Our Service provides tools for managing contacts, tracking deals, creating proposals, processing payments, and discovering speaking opportunities.
3. Account Registration and Security
3.1 Account Creation
You must create an account to use our Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Invitation-Only Access
New accounts are created through administrator invitations only. By accepting an invitation, you agree to these Terms.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate the intellectual property rights of others
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Service or servers
- Use automated systems to scrape or extract data without permission
- Impersonate any person or entity or misrepresent your affiliation
- Harass, abuse, or harm other users
5. User Content and Data
5.1 Your Content
You retain ownership of all content and data you submit to the Service ("User Content"). By submitting User Content, you grant us a license to use, store, and process it solely to provide and improve the Service.
5.2 Content Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that you have all necessary rights to your User Content and that it does not violate any laws or third-party rights.
5.3 Data Backup
While we implement backup procedures, you are responsible for maintaining your own backup copies of your User Content.
6. Payment Terms
6.1 Subscription Fees
Access to certain features requires a paid subscription. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.
6.2 Payment Processing
Payments are processed through third-party payment processors (Stripe). You agree to their terms and authorize us to charge your payment method for all fees incurred.
6.3 Price Changes
We may change our fees at any time. We will provide you with reasonable notice of any fee changes, and you will have the opportunity to cancel your subscription before the changes take effect.
7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by SpeakerRadar and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8. Third-Party Services
Our Service may integrate with third-party services (e.g., email providers, payment processors, calendar services). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
9. Termination
9.1 By You
You may terminate your account at any time through your account settings or by contacting us.
9.2 By Us
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason at our sole discretion, with or without notice.
9.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.
10. Disclaimers and Limitations of Liability
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKERRADAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
11. Indemnification
You agree to indemnify, defend, and hold harmless SpeakerRadar and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SpeakerRadar operates, without regard to its conflict of law provisions.
12.2 Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and SpeakerRadar regarding the Service and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
